3. CLIENT RESPONSIBILITIES

3.1 Accurate Information

You agree to:

Provide accurate, current, and complete information

Update information promptly when changes occur

Respond to requests for additional documentation in a timely manner

Notify us immediately of any unauthorized use of your account

3.2 Compliance

You are responsible for:

Complying with all applicable federal, state, and local laws

Maintaining proper business licenses and permits

Following tax filing deadlines and requirements

Implementing recommendations at your own discretion

3.3 Documentation

You must:

Maintain copies of all documents provided to us

Keep records as required by law

Provide complete and accurate financial information

Retain all tax documents for the legally required period


4. FEES AND PAYMENT TERMS

4.1 Service Fees

All fees are stated clearly before services are rendered

Professional fees are separate from state filing fees or government fees

Prices are subject to change with 30 days notice for ongoing services

New pricing does not affect existing contracted services

4.2 Payment Schedule

One-time services: Payment due before service delivery unless otherwise agreed

Coaching programs: Payment plans available as specified in individual agreements

Monthly services: Payment due on the 1st of each month

State and government fees: Due before filing/submission

4.3 Payment Methods

We accept:

Credit/debit cards

Bank transfers

Payment plans (for qualifying programs)

Cash (for in-person services)

4.4 Late Payments

Late fee of $50 or 5% of balance (whichever is greater) applies after 15 days

Services may be suspended for accounts 30+ days overdue

Collection costs will be added to delinquent accounts

4.5 Refund Policy

Refunds are evaluated on a case-by-case basis

No refunds on government filing fees (non-refundable by nature)

Coaching programs: Refund policy specified in program agreement

Service dissatisfaction must be reported within 30 days


5. INTELLECTUAL PROPERTY

5.1 Our Content

All content on our website, including but not limited to:

Text, graphics, logos, images

Course materials, workbooks, videos

Templates, forms, and documents

Software, code, and technology

Is the property of NexOne Consulting and protected by copyright laws.

5.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to:

Access course materials for personal use only

Use provided templates for your business operations

Download resources for your own business (not for resale)

5.3 Restrictions

You may NOT:

Reproduce, distribute, or sell our materials

Share login credentials or course access

Use our content to create competing services

Remove copyright or proprietary notices

5.4 Client Materials

You retain ownership of all materials you provide to us. By providing materials, you grant us a license to use them solely for providing services to you.


6. CONFIDENTIALITY

6.1 Our Commitment

We maintain strict confidentiality of:

Tax information and returns

6.2 Exceptions

We may disclose information when:

7.2 No Guarantees

We do not guarantee:

Specific business results or revenue increases

Tax savings amounts (estimates are projections only)

Approval of government applications or filings

That our service will be uninterrupted or error-free

7.3 Professional Judgment

While we provide expert guidance based on experience and knowledge:

Every business situation is unique

Results vary based on individual circumstances

You are responsible for final business decisions

We are not responsible for decisions you make based on our advice

7.4 Tax Matters

Tax laws change frequently

We base advice on current laws and regulations

IRS interpretations may vary

You are ultimately responsible for your tax obligations


8. LIMITATION OF LIABILITY

8.1 Maximum Liability

Our total liability to you for any claim arising from our services shall not exceed the amount you paid us for services in the 12 months preceding the claim.

8.2 Excluded Damages

We are not liable for:

Indirect, incidental, or consequential damages

Lost profits or business opportunities

Business interruption or loss of data

Third-party claims or actions

8.3 Client Decisions

We are not liable for:

Losses resulting from your business decisions

Penalties or interest from late tax filings (unless directly our fault)

Consequences of inaccurate information you provide

Actions of third parties (government agencies, banks, etc.)

8.4 Timely Response

You must notify us of any errors or issues within 30 days of discovery. Failure to do so may limit our ability to correct the issue.


9. TERMINATION

9.1 Termination by You

You may terminate services by:

Providing 30 days written notice for ongoing services

Paying for all services rendered through termination date

Requesting final deliverables within 60 days

9.2 Termination by Us

We may terminate services if:

You breach these Terms

You provide false or misleading information

Payment is 30+ days overdue

We determine we cannot effectively serve you

9.3 Effect of Termination

Upon termination:

You must pay all outstanding fees

We will provide completed work/documents

Your access to online platforms will be revoked

Confidentiality obligations continue


10. COMMUNICATION AND CONSENT

10.1 Electronic Communications

By using our services, you consent to:

Receive emails, text messages, and calls from us

Electronic delivery of documents and agreements

Communication through our client portal or platforms

10.2 Marketing Communications

You may receive:

Educational content and tips

Special offers and promotions

Event invitations and announcements

You can unsubscribe from marketing emails at any time via the unsubscribe link.

10.3 Service Communications

You cannot opt out of:

Service-related communications

Account notifications

Payment and billing communications


11. PROFESSIONAL STANDARDS

11.2 Not Immigration Legal Services

We assist with immigration document preparation but do not provide legal representation before USCIS or immigration courts.

11.3 Tax Preparer Standards

12. DISPUTE RESOLUTION

12.1 Informal Resolution

Before filing any claim, you agree to contact us to attempt informal resolution. We commit to working in good faith to resolve disputes.

12.2 Mediation

If informal resolution fails, both parties agree to attempt mediation before litigation.

12.3 Jurisdiction

These Terms are governed by the laws of South Carolina. Any legal action must be filed in Greenville County, South Carolina.

12.4 Class Action Waiver

You agree to resolve disputes individually and waive the right to participate in class actions or class arbitrations.


13. GENERAL PROVISIONS

13.1 Entire Agreement

These Terms constitute the entire agreement between you and NexOne Consulting regarding our services.

13.2 Amendments

We may update these Terms at any time. Continued use of services after changes constitutes acceptance. Material changes will be notified via email.

13.3 Severability

If any provision is found unenforceable, the remaining provisions remain in full effect.

13.4 No Waiver

Our failure to enforce any right or provision does not constitute a waiver of such right or provision.

13.5 Assignment

You may not assign your rights or obligations under these Terms without our written consent.

13.6 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control.
